Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern access to and use of the Mind Your Fleet website, consoles, mobile applications and related services (together, the "Platform"). Mind Your Fleet ("MYF", "we", "us") is operated by Eroovo Tech.

By accessing or using the Platform, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" refers to it.

2. Definitions

• "Platform" — the MYF website, consoles, applications and APIs
• "MYF for Corporate" — our product for enterprises managing corporate cab programmes
• "MYF for Fleets" — our product for car rental companies running their operations
• "Marketplace by MYF" — the network through which duties can be fulfilled by fleet partners other than your contracted vendor
• "Customer" — the enterprise or car rental company holding an account
• "Fleet Partner" — a car rental company or vehicle owner providing transport through the Platform
• "Driver" — an individual driver engaged by a Fleet Partner
• "User" — any individual accessing the Platform under a Customer's account, including employees, travel desks, administrators, supervisors and Drivers
• "Duty" — a confirmed trip request created on the Platform

3. Our services

MYF provides software and a supply network for enterprise mobility:

3.1 MYF for Corporate

A Cloud Console for administrators and leadership, an app for employees and a web portal for travel desks — covering booking, dispatch oversight, policy controls, tracking, bill approval and audit trails.

3.2 MYF for Fleets

A Cloud Console for car rental operations plus apps for owners, supervisors and drivers — covering bookings, dispatch, driver and vehicle onboarding, invoicing, settlements and maintenance.

3.3 Marketplace by MYF

A network of verified fleet partners that can fulfil duties your contracted vendors are unable to cover.

4. Account registration

4.1 Eligibility

• You must be at least 18 years old and legally able to enter into contracts
• You must provide accurate, current and complete registration information
• For business accounts, you must be authorised to act for your organisation

4.2 Account security

You are responsible for keeping credentials confidential, for all activity under your account, and for notifying us promptly of any suspected unauthorised access. Administrators are responsible for the users they invite and the permissions they grant.

4.3 Verification

We may verify identity and business credentials. Enterprise accounts may require GST registration, company incorporation documents and authorised signatory details. Fleet Partners and Drivers must supply valid licences, permits, insurance, registration and KYC documents, and must keep them current. We may suspend access where documents are expired, missing or cannot be verified.

5. Bookings and duties

5.1 Creating a duty

When a duty is created on the Platform, you confirm the details are accurate, and you authorise dispatch to your contracted vendor or, where applicable, to the Marketplace.

5.2 Confirmation

A duty is confirmed when vehicle and driver details are allotted and communicated. Allotment depends on availability, and we may decline or reassign a duty where a vendor cannot fulfil it.

5.3 Changes, cancellation and no-show

Changes and cancellations are governed by the commercial terms agreed between the Customer and its Fleet Partner, or by the rate card applicable to the account. Cancellation charges and no-show charges may apply. Where MYF only provides the software, these charges are set and collected by the parties to the duty, not by MYF.

5.4 Duty closure

Duties end with an OTP-verified duty closure recorded on a digital duty slip. The records generated at closure — timings, distance, tolls and parking — form the basis of billing, and both sides can review them.

6. Pricing and payment

6.1 Platform subscription

Access to MYF for Corporate and MYF for Fleets is provided on the plan selected at signup or set out in your service agreement. Plans scale with bookings, automation and AI usage. Prices shown on the website are indicative, exclusive of taxes, and confirmed at signup or in your agreement.

6.2 Trip fares

Fares for duties are governed by the contracted rate card between the Customer and its Fleet Partner, or by the Marketplace rate applicable to a backfilled duty. Fares typically comprise base fare, distance and time components, tolls, parking, permits and applicable taxes.

6.3 Invoicing

Invoices are generated on the Platform against verified duty records. Payment terms are as per your service agreement. Overdue amounts may attract interest and may lead to suspension of access.

6.4 Taxes

All charges are exclusive of GST and other applicable taxes, which are payable in addition at the prevailing rate.

7. Your obligations

• Provide accurate booking, billing and compliance information
• Use the Platform only for lawful business purposes and in line with your organisation's travel policy
• Be present at the agreed pickup point at the scheduled time
• Treat Drivers, Fleet Partners and MYF staff with respect
• Follow safety rules, including seatbelt use where applicable
• Do not smoke, consume alcohol or use illegal substances in a vehicle
• Do not carry prohibited, hazardous or illegal items
• Keep credentials secure and permissions appropriate to each user's role
• Fleet Partners and Drivers: maintain valid documents, roadworthy vehicles and working tracking devices for the duration of every duty
• Report incidents, disputes and safety concerns through the Platform or support channels promptly

8. Prohibited activities

You must not:

• Use the Platform for any unlawful purpose or in breach of any regulation
• Harass, threaten or abuse Drivers, Users or MYF staff
• Damage vehicles or property
• Provide false information during registration, onboarding or booking, or submit forged compliance documents
• Share account credentials with unauthorised persons
• Manipulate duty records, GPS data or duty slips, or attempt to bypass billing or verification controls
• Attempt to circumvent the Platform to transact directly in a way that breaches your agreement with us
• Introduce malware, probe or attack the Platform, or attempt to access data you are not authorised to see
• Reverse engineer, decompile or attempt to extract source code from the Platform
• Scrape the Platform or use automated systems against it without our written consent

9. Limitation of liability

9.1 Availability

We work to keep the Platform available and reliable, but do not warrant uninterrupted or error-free operation. Service may be affected by maintenance, third-party outages, connectivity, weather, traffic, civic disruption or other events beyond our reasonable control.

9.2 Independent providers

Transport is provided by independent Fleet Partners and Drivers. Except as required by law or expressly agreed in writing, MYF is not liable for their acts or omissions.

9.3 Cap on liability

To the maximum extent permitted by law, MYF's aggregate liability for any claim arising out of or relating to the Platform is limited to the amounts paid by you to MYF for the service giving rise to the claim in the three months preceding the event.

9.4 Exclusions

• Indirect, incidental, special or consequential loss
• Loss of profit, revenue, goodwill, data or anticipated savings
• Delays or failures caused by events outside our reasonable control
• Personal belongings left in a vehicle

Nothing in these Terms excludes liability that cannot lawfully be excluded.

10. Indemnification

You agree to indemnify and hold harmless MYF, Eroovo Tech and their officers, directors, employees and agents against claims, damages, losses and reasonable expenses arising from your use of the Platform, your breach of these Terms, your infringement of third-party rights, or content and information you submit.

11. Intellectual property

11.1 Our rights

The Platform, including its software, interfaces, trademarks, logos and content, belongs to MYF, Eroovo Tech or our licensors. Nothing in these Terms transfers ownership to you.

11.2 Licence to you

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended business purpose during your subscription. You may not sublicense it, create derivative works, resell access, or remove proprietary notices.

11.3 Your data

You retain ownership of the data you and your users put into the Platform. You grant us the licence needed to host and process it in order to provide the service. We may use aggregated, de-identified data — which does not identify you, your users or your customers — to operate and improve the Platform.

12. Data and privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. Where MYF processes personal data on a Customer's instructions, the Customer is the controller of that data and is responsible for having a lawful basis to collect and share it, including notifying its employees about tracking and trip monitoring.

13. Termination

13.1 By you

You may close your account in line with your service agreement, or by contacting support where no separate agreement applies. Outstanding amounts remain payable.

13.2 By us

We may suspend or terminate access where you breach these Terms, engage in fraud or unlawful activity, fail to pay amounts due, present a safety risk to Users or Drivers, or where we are required to do so by law.

13.3 Effect

On termination, your right to use the Platform ends. We will make your data available for export for a reasonable period as set out in your agreement, after which it may be deleted subject to statutory retention requirements. Clauses on liability, indemnity, intellectual property and dispute resolution survive termination.

14. Dispute resolution

14.1 Talk to us first

Before starting formal proceedings, contact us at sales.support@myf.io. Most issues are resolved quickly this way.

14.2 Arbitration

If a dispute cannot be resolved informally, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration shall be New Delhi, India, and proceedings shall be in English. The award shall be final and binding.

14.3 Individual basis

Disputes are to be resolved individually. To the extent permitted by law, you waive participation in class or collective proceedings.

15. Governing law

These Terms are governed by the laws of India. Subject to the arbitration clause above, the courts at New Delhi shall have exclusive jurisdiction.

16. Changes to these terms

We may revise these Terms as the Platform and applicable law evolve. We will post the updated version here and update the date above; for material changes we will notify account holders by email or in-product notice. Continued use after the effective date constitutes acceptance.
